- It may be relevant: AI-generated documents are discoverable when they are relevant to any claim or defense in the litigation — including when they contain admissions about litigation strategy, reveal the party's understanding of relevant facts, or document decisions made in reliance on AI analysis.
- It is within a party's possession, custody, or control: AI-generated documents saved or used by a party are within that party's possession, custody, or control for Rule 34 purposes — including documents generated on consumer AI platforms where the party may not have direct access to the platform's logs but has access to the outputs that were saved or used.
The Zubulake Foundation
The foundational ESI preservation case is Zubulake v. UBS Warburg, decided by Judge Scheindlin in the Southern District of New York in 2004. The Zubulake opinions established the ESI preservation framework that governs litigation holds to this day: once a party reasonably anticipates litigation, it has a duty to suspend routine document destruction and preserve all relevant ESI. The Prompt as Discoverable ESI
Perhaps the most legally significant — and least appreciated — dimension of AI discovery is the discoverability of the prompts themselves. Prompts are electronically stored text. They are created at a specific time, submitted to an AI system, and stored in the system's logs (and potentially in the user's local history). When a party submits a prompt to an AI system, that prompt may contain:
- Admissions: "We were aware that the merger violated the consent decree — help me draft a memo explaining why it was permissible anyway" is an admission in the form of a prompt. The prompt is discoverable. The admission is in it.
- Mental impressions: Work product doctrine protects an attorney's mental impressions, conclusions, and legal theories under FRCP Rule 26(b)(3). But when those mental impressions are disclosed to a consumer AI system under terms permitting third-party access, the disclosure may waive work product protection — leaving the attorney's mental impressions, as revealed in the prompt, discoverable.
- Legal strategy: Prompts asking AI to analyze the strengths and weaknesses of a legal position, identify vulnerabilities in a contract argument, or develop settlement range analysis contain information about litigation strategy that the opposing party would very much like to have.
- Prior inconsistent positions: A prompt in which a party asks AI to help justify a position that is inconsistent with its current litigation posture creates impeachment material.
Parties routinely submit highly sensitive information in AI prompts without thinking of the prompt as a document that might be produced in litigation. The prompt is as discoverable as any email or memo. Every "help me think through" prompt to a consumer AI that touches on the subject of pending or anticipated litigation is potentially a discoverable document — and potentially a piece of evidence against you.
When Prompts Are Shielded — and When They Are Not
Attorney prompts submitted through a properly configured enterprise AI deployment may qualify for attorney-client privilege and work product protection, depending on the circumstances. If an attorney uses an enterprise AI tool under a properly structured DPA and isolated architecture to research legal strategy, the attorney's prompts may constitute work product reflecting mental impressions — potentially shielded under Rule 26(b)(3) if the attorney-direction and confidentiality requirements are met.
Consumer AI prompts, under Heppner, enjoy no such protection. The consumer tool's terms of service eliminate any reasonable expectation of confidentiality, removing the foundational requirement for both privilege and work product protection. The enterprise/consumer distinction that determines privilege also determines whether prompts can be protected from discovery.
Litigation Hold Obligations for AI
The litigation hold obligation — established in Zubulake and refined through two decades of e-discovery jurisprudence — requires parties to suspend routine document destruction and preserve all potentially relevant ESI once litigation is reasonably anticipated. In the AI era, this obligation extends to a new category of ESI that most litigation hold protocols have not yet addressed.
What AI Content Must Be Preserved
A comprehensive litigation hold in a matter where AI was used to any significant degree in the relevant business activities must address the following categories of AI-generated ESI:
- AI conversation logs: Complete logs of AI sessions in which the subject matter of the litigation was discussed, analyzed, or processed — including both the prompts submitted and the model outputs received
- Prompts submitted: The text of prompts submitted to any AI system about matters relevant to the litigation, preserved with associated timestamps and session identifiers
- Model outputs used in decisions: AI-generated analyses, summaries, recommendations, or documents that were used to inform business, legal, or strategic decisions relevant to the litigation
- AI-generated drafts: Drafts of contracts, communications, analyses, or other documents generated with AI assistance, even if superseded by later versions — the earlier drafts may reveal how the party's position evolved
- AI metadata: Metadata associated with AI-generated documents: model version, generation timestamp, session ID, platform identifier, and (where available) prompt text
- AI platform access logs: Logs showing which employees accessed which AI platforms during the relevant period — to enable identification of additional AI-generated ESI that may need to be preserved
The Spoliation Risk: Failure to preserve AI conversation logs and model outputs after the litigation hold obligation is triggered may constitute spoliation of evidence. If AI-generated content that is later found to be relevant was deleted after the hold obligation arose — even as part of routine AI platform data purging — the party may face adverse inference instructions, monetary sanctions, or in egregious cases, case-terminating sanctions under FRCP Rule 37(e).

- Generation timestamp: When the AI document was generated relative to the trigger event in the litigation — a merger announcement, a regulatory inquiry, a breach notice — is potentially significant for establishing what the party knew and when.
- Prompt metadata: Some AI platforms record prompt text as metadata associated with the output document. This metadata is discoverable and may contain the most valuable information in the AI record — the specific question the user was trying to answer when they generated the document.

Establish a protocol for capturing and preserving prompt text as part of your AI ESI collection workflow.
Under Heppner, AI-generated documents created without attorney direction are not protected by work product. To preserve work product protection for AI-assisted litigation preparation, document that the work was conducted under attorney direction as part of a coordinated litigation strategy. This documentation is the difference between protected and discoverable.
Assess whether any attorney communications were used as prompts in consumer AI tools on matters that are now or may become litigated. Under Heppner, those communications may have had privilege waived. Evaluate the scope of exposure and consider proactive remediation steps, including client notification and motion practice if appropriate.
In matters where AI was used in the relevant business activities, raise AI ESI at the Rule 26(f) conference. Agree with opposing counsel on: the scope of AI ESI discovery, the format for production of AI-generated documents and associated metadata, and the procedures for asserting privilege over attorney-directed AI work product.
Beyond the documents themselves, preserve logs showing which employees accessed which AI platforms during the relevant period. For every matter pending in a court that has issued an AI standing order, identify the specific affirmation or certification language required. Prepare compliant disclosure language for every filing in those courts. Failure to comply with a standing order is an independent sanctionable violation beyond any substantive discovery obligation.
If AI-generated analysis containing material inaccuracies was relied upon in business decisions relevant to the litigation, preserve both the AI output and all evidence of how the decision-maker used that output. This documentation protects against the argument that reliance on AI was unreasonable or that the inaccuracy should have been detected.
E-discovery counsel must understand AI ESI collection, production, and privilege analysis.
