2. SOC 2 Type II and the AICPA Trust Services Criteria 2017 for AI Systems

Processing Integrity (PI1.1-PI1.5)
Processing Integrity criteria require that system processing is complete, valid, accurate, timely, and authorised. For AI systems, this is the most demanding TSC category: it requires controls that verify the integrity of model outputs, detect when outputs are outside expected distributions, and ensure that AI processing produces results that are accurate relative to the system’s stated purpose. A SOC 2 Type II report that includes Processing Integrity for an AI credit scoring system must demonstrate active monitoring of output accuracy — not merely infrastructure integrity.
Confidentiality (C1.1-C1.2)
Confidentiality criteria address the protection of information designated as confidential. For AI systems, confidentiality controls must address: the confidentiality of training data (which may contain sensitive customer information); the confidentiality of model weights (which represent significant intellectual property and competitive value); and the risk of confidential information leakage through model outputs, which is a documented risk for large language models that have memorised training data.
Privacy (P1.0-P8.0)
Privacy criteria address personal information collection, use, retention, and disposal. For AI systems processing personal data in financial services, Privacy criteria must cover the full data lifecycle including training data collection and retention, inference-time personal data processing, and the rights of individuals whose data is used to train or validate the model.
3. SEC Cybersecurity Disclosure Rules (2023) and AI System Materiality
The SEC’s December 2023 cybersecurity disclosure rules (Release No. 33-11216, effective for accelerated filers from December 15, 2023) create specific obligations for public companies that are directly relevant to AI system governance in financial services. The rules require:
- Item 1.05 Form 8-K disclosure: Material cybersecurity incidents must be disclosed within four business days of the company determining that the incident is material. For AI systems, a material incident could include: a data breach involving AI training data; discovery that a production model has been producing systematically incorrect outputs for a material period; or identification of a model vulnerability that could be exploited to manipulate outputs.
- Item 106 Regulation S-K annual disclosure: Companies must annually disclose their processes for assessing, identifying, and managing material risks from cybersecurity threats; the Board’s oversight of cybersecurity risks; and management’s role in assessing and managing cybersecurity risks. For AI-powered financial services firms, these disclosures must address AI-specific risk dimensions including model governance, vendor AI dependencies, and model failure scenarios.
- Materiality assessment: The rules apply the standard materiality analysis — whether there is a substantial likelihood that a reasonable investor would consider the information important. For AI systems, materiality assessment must consider not merely the direct financial impact of an AI failure but also the reputational, operational, and regulatory consequences of systematic AI failures in consumer-facing financial services.
4. AI-Specific SOC 2 Control Considerations for Financial Services
The TSC 2017 framework was designed before large-scale commercial AI deployment and does not contain AI-specific criteria. However, AICPA has published supplemental guidance on applying SOC 2 to AI systems, and leading SOC 2 examiners have developed examination approaches for AI-specific control areas. Model Training Data Governance
